Job Overview

The Senior Corporate Counsel, Data Acquisition & Licensing is a high-impact legal role focused on structuring, negotiating, and managing the agreements that give Socure access to the data and third-party services that help power our identity verification and fraud prevention solutions. Reporting to the Senior Director, Associate General Counsel, this position leads negotiations with data providers, credit bureaus, government and public-record sources, alternative-data vendors, and third-party service providers globally, and partners closely with the Data Acquisition team, Product, Engineering, Product Counsel, and Privacy to secure data rights and services on commercially and legally sound terms.

This team member also supports Socure's general procurement contracts and sales-facing legal team as needed, and serves as the company's subject-matter expert on data-sourcing and platform-integration contracts, balancing speed and commercial flexibility with regulatory risk in a highly regulated, fast-scaling environment.

Job Responsibilities

  • Lead negotiation and drafting of agreements with data providers, credit bureaus, government/public-record sources, and alternative-data vendors across the world, to test, evaluate, acquire, license data

  • Lead negotiation and drafting of agreements with third-party providers whose products or services are integrated into RiskOS, Socure's platform, including integration, reseller, and technology-partner terms

  • Structure deal terms covering such things as permitted use, field-level and downstream usage rights, data quality and accuracy warranties, refresh/update obligations, service levels, and audit rights, with particular attention to ensuring the solutions we build can be sold to our customers in as frictionless and unrestricted a manner as possible

  • Collaborate with the Product Counsel and Privacy teams to advise on FCRA, GLBA, state consumer privacy laws (e.g., CCPA/CPRA), GDPR and other domestic and international regulatory regimes governing the sourcing and use of consumer and identity data

  • Partner with the Data Acquisition team, Product, and Engineering to translate business and technical data and integration requirements into enforceable contract terms, and advise on data provenance, consent, and permissible-purpose issues

  • Assess and allocate risk related to data ownership, IP in derived/enriched data and models, liability, and termination/data-return or destruction obligations

  • Develop and implement AI-supported tracking mechanisms to catalog the usage rights, restrictions, and other contractual limitations attached to each data source, and partner with the Data Acquisition, Product, and Product Counsel to ensure downstream use stays within those bounds

  • Support general procurement and sales-facing legal team members as needed on customer and contract negotiations, providing subject-matter input on data rights, RiskOS integration terms, and related risk issues

  • Develop and implement agentic AI workflows to accelerate the review, negotiation, and processing of data acquisition and RiskOS-related contracts

  • Develop and maintain data acquisition and platform-integration contract playbooks, templates, and negotiation guidelines; build standardized processes to accelerate deal cycles while preserving legal and regulatory guardrails

  • Manage relationships with external counsel on complex or novel data-sourcing or integration matters, and support due diligence on data rights in M&A and strategic partnership transactions

  • Collaborate with the Product Counsel and Privacy teams to monitor evolving data privacy and AI/data-use regulations across jurisdictions, and proactively update contract forms and internal policies in response

  • Train and advise Sales, Product, and the Data Acquisition team on data rights, permissible use limitations, and the legal, product, and business implications of new data sources, vendors, or RiskOS integrations

  • Support cross-border data sourcing and transfer issues as Socure's data supply chain expands globally

  • Mentor junior legal team members and foster cross-functional collaboration on data- and platform-related legal matters

Job Requirements

  • JD from an accredited law school; active bar membership in good standing in at least one U.S. state

  • At least 7 years of post-JD legal experience in a law firm or in-house legal department, with substantial experience negotiating data licensing, data acquisition, or data-sharing agreements

  • Deep familiarity with data privacy and consumer-data regulatory frameworks, including FCRA, GLBA, and state

  • privacy laws; experience with credit bureau, alternative-data, or data broker relationships strongly preferred

  • Demonstrated success negotiating complex commercial data transactions, including data rights, IP, and liability allocation in agreements involving sensitive or regulated data, together with the ability to provide common-sense feedback on commercial aspects of contracts

  • Experience negotiating technology integration, reseller, or platform-partner agreements is a plus, particularly for

  • SaaS platforms that embed or resell third-party data or services

  • Strategic thinker with strong commercial judgment; able to move quickly on high-volume data deals while flagging and escalating material legal or regulatory risk

  • Critical thinker with the ability to translate complex contract terms into clear, actionable guidance for Product and executive leadership

  • Collaborative team player able to support sales-facing legal colleagues on customer negotiations as needed, without losing focus on core data acquisition responsibilities
